This is a translation. If it differs from the original, the Portuguese version prevails.
This is the contract between you and Zera Company for the use of ZeraSync. It is written in plain language on purpose. If any sentence here contradicts what our sales page promises, whichever is better for you prevails.

1. Who contracts and who provides
The service is provided by Zera Company, located at Rua Paraná, 2361, Cascavel, Paraná, Brazil. The designated contact for matters relating to this contract is [email protected]. The company's full identification details, including its CNPJ (Brazilian company registration number), appear on the invoice (nota fiscal) issued with each charge.
You are the customer, an individual or legal entity that signs up through the website and subscribes to one of the plans. By completing the sign-up, you declare that you have the authority to contract on behalf of the company you provided.
2. What the service is, and what it is not
ZeraSync has three parts, and you subscribe to a combination of them according to the plan you choose:
- Cloud API connection. Zera registers and operates your number on Meta's Cloud API for WhatsApp, in your company's name, and keeps the credential and the event forwarding working.
- Inbox. A customer service platform in which your whole team works the same number, with a queue, labels, filters, search and history kept within the company. It is included in the ZeraSync plan, which also includes the connection, and it is not included in the WhatsApp API plan.
- BotSync. A rule-based service menu, built by Zera together with you from a standard menu. It is not artificial intelligence, does not consume a model and always responds the same way. It is an add-on to the ZeraSync plan, because it runs inside the inbox, and it is not sold together with the WhatsApp API plan.
What the service is not, so there is no doubt later:
- It is not a drag-and-drop flow builder.
- It does not deliver WhatsApp interactive buttons on the list-price plans. Sending through the platform is text.
- It is not a white-label platform. The interface is ours.
- It does not include paid traffic management, NeuroSync or Neural Core. These are separate projects, contracted through a specific proposal.
- We are not a BSP or a Meta Solution Partner, and we do not resell messages.
3. Activation: the timeline depends on Meta
After sign-up, you connect the number through Meta's connection flow and Meta reviews your business display name. This review usually takes 24 to 48 hours, and the first message template, when you need one, goes through a similar review. These reviews do not prevent service from starting: they unlock scale, because a new number can reach up to 250 different people per day. If the number has not been approved and you want to withdraw, just contact Zera: we cancel your registration and, within the 7-day withdrawal period, refund the amount paid.
This timeline belongs to Meta, not to us. We have no way to speed up Meta's queue and we do not claim that we do. Any estimate Zera gives about activation is an estimate, not a contractual commitment to a date.
For Meta to approve the number, four conditions must be true, and all of them depend on you: there must be an administrator of the company's Meta Business Manager to authorize it; the number must not be in active use on another WhatsApp account, or you must agree to migrate it; the company must have a live website with business activity that falls within the WhatsApp Commerce Policy; and there must be a card enabled for online purchases.
If Meta does not approve your number, you get your money back. We let you know, explain the reason when it can be fixed, and cancel your registration, refunding what you paid.
4. When billing happens
The payment method is registered at subscription and the charge happens at subscription, with 7 days to withdraw, in the amount shown on the payment screen, which is what starts the subscription cycle. This applies to all plans, including the WhatsApp API. Subsequent cycles follow the same date, monthly or annual according to the plan subscribed. Cancellation is done from the dashboard, at any time and with no penalty, and takes effect at the end of the period you have already paid for.
Customers who subscribed to the WhatsApp API before September 6, 2026 remain under the previous rule, in which the first charge happened on the day the number went live.
In addition to the charge, a card validity verification amount made by the card issuer may appear on your statement. This amount is not a charge, and it disappears on its own within 48 hours.
The subscription is recurring in the subscribed cycle, monthly or annual, on the same date each cycle, in the amount of the subscribed plan multiplied by the number of connected numbers, plus BotSync when it is active. The cycle starts at subscription on all plans.
The annual plan can be paid upfront or, when the payment screen offers it, in card instalments, in the number of instalments and the amount shown there. The instalment option is the purchase of the whole year split across your card statements.
We do not charge a setup fee, activation fee, per-agent fee, minimum usage allowance or cancellation penalty on the subscription plans in this price list. Projects such as NeuroSync and Neural Core have their own implementation fee, stated in writing in the proposal before any contract.
5. What you pay directly to Meta
Meta charges for usage, currently per delivered message, according to its public price list and the free-of-charge rules it sets itself and may change. This amount is paid by you, directly to Meta, with the payment method attached to your own business account. It does not go through Zera, it is not included in our invoice and it receives no markup from us.
This means two things: you have full control and visibility of this cost inside your Meta account, and Zera has no way to interfere with it, either up or down. Meta's price changes are Meta's decisions, communicated by Meta, and we only pass on the notice when we become aware of it.
6. Price, adjustments and non-payment
Current prices are those published at zeracompany.com. Any price change that affects your subscription is notified by email at least 30 days in advance, and you can cancel before the new amount takes effect, at no cost.
Access to the platform lasts until the end of the period you have already paid for. If that period ends without payment for the next cycle, your account on the ZeraSync platform is suspended: the login remains, but the service dashboard and the conversations are blocked. There is no extra grace period after the end of the paid period. At the same moment, the number stops receiving messages through Zera: messages your customers send from then on do not reach the inbox or the system you connected to the number, until the number is connected again, by us once the overdue payment is confirmed, or by another provider. Once the payment is confirmed, the account comes back as it was. The number and the Meta account remain yours. Anyone who was already a customer before October 4, 2026 has the transition described in section 13.
The suspension deletes nothing. For 30 days after the end of the paid period, the conversations remain stored and you can request their export through support, at [email protected]. After that, the retention rules of the Privacy Policy apply.
The suspension does not cancel the subscription right away either: during the first 30 days of suspension, invoices for the next cycles keep being issued and, on a card, the charge keeps being attempted. If one of them is paid, the account comes back as it was. If you are not coming back, cancel the subscription from the dashboard or through support, at [email protected]. After 30 days of suspension without payment, the subscription is cancelled automatically: no new charge is made, and the open invoices for the period in which the account was suspended are cancelled. Invoices for periods in which the service was provided remain due.
7. Cancellation, no lock-in
There is no lock-in, minimum term or penalty. You cancel whenever you want.
Cancellation is done from the customer dashboard, in one click, with no retention call and no need to talk to a salesperson. Subscription happens through a form on the website, so cancellation happens through the same channel and with the same ease, as required by Decree 11.034/2022, which regulates the Brazilian Consumer Protection Code (Código de Defesa do Consumidor) on this point.
Cancellation takes effect at the end of the cycle you have already paid for. You keep access until then and no new cycle is charged after that. On the annual plan paid in instalments, cancelling means the subscription does not renew, and the remaining instalments stay on your card statement until the last one, because the year has already been purchased; access lasts until the end of the paid year. When the cycle ends, your account on the ZeraSync platform is suspended: the login remains, but the service dashboard and the conversations are blocked, and the number stops receiving messages through Zera, as in section 6. The conversations stay stored for 30 days so you can request their export through support, and after that the retention rules of the Privacy Policy apply. If the dashboard is down at the moment you want to cancel, write to [email protected]: the date that counts is the date of your request, not the date of our fix.
8. Right of withdrawal
You have 7 days from subscription to withdraw and get back the amount paid.
In practice: the charge happens at subscription, so within the 7-day withdrawal period you cancel and Zera refunds the amount through the same payment method. Once the full refund is confirmed, the contract ends at that moment, without waiting for the end of the cycle, and the account on the platform is suspended as at the end of a cancellation under section 7. After the 7 days, cancelling does not refund the amount for that cycle, and you use the platform until the end of it. The annual plan, upfront or in instalments, follows the same rule; with instalments, the refund within the 7 days covers the whole instalment plan. This applies for any reason, with no need to justify it, and all you need to do is cancel from the dashboard or reply to the purchase email.
Customers who subscribed to the WhatsApp API before September 6, 2026 remain under the previous rule: while the number is not live there is no charge, and cancelling before then prevents the charge, on the monthly or the annual plan.
9. Acceptable use and number quality
By using the service, you agree to comply with the WhatsApp Business Terms of Service, the WhatsApp Commerce Policy and Brazilian law. In particular, you will not use the platform to send messages to people who did not request contact, for deceptive practices, for illegal content or for activity prohibited by Meta.
Number quality is measured by Meta based on how people react to your messages. If many people block or report you, Meta lowers the quality rating and may limit sending or ban the number. This is Meta's decision and no one in the market has the power to reverse it. What we do is warn you when quality drops and advise on what to change.
Zera may suspend the service, with notice, when there is use that puts the number or our infrastructure at risk, or when Meta itself requires it. In the event of suspension for breach, amounts for the cycle already paid are not refunded.
10. What is yours stays yours
- The WhatsApp Business account and the business portfolio are in your name, at Meta, from day one.
- The phone number is yours. If you want to take it to another provider, we hold nothing back to make leaving harder.
- The conversations and contacts of your operation are yours. You can request their export and their deletion at any time, and the export remains possible for up to 30 days after the end of the paid period, through support.
- The platform's code, the interface and the ZeraSync brand belong to Zera Company. The contract gives you the right to use the service while the subscription is active, not ownership of the software.
11. Availability and support
We work to keep the platform available, but we do not sell a service level agreement with a guaranteed percentage, and it is better to say so than to write a number we cannot back up. Part of the availability depends on Meta itself and on third-party infrastructure, which are outside our control.
Support is in Portuguese, by WhatsApp and by email, during business hours, Monday to Friday, provided by the people who built the platform. We do not sell 24-hour on-call support, a contractual response time or a dedicated account manager. Zera is a small team and promising that would be a lie.
12. Limitation of liability
Zera is liable for the direct damages it causes through a proven failure of the service, subject to the rights that the Brazilian Consumer Protection Code guarantees you and that this contract cannot reduce.
Zera is not liable for: Meta's decisions on approval, quality or banning of a number; unavailability of Meta's API or of other third-party services; the content of messages sent by your team; expected commercial results, such as sales volume or response rate; and losses arising from use of the service in breach of these terms.
No figure presented on the website as proof of results is a performance promise. They are measurements of specific operations, each with its own context, and they are published precisely because we prefer to show real data rather than invent a generic figure.
13. Changes to these terms
We may change these terms. When a change affects your rights or the price, we notify you by email at least 30 days in advance, and you can cancel at no cost before it takes effect. Wording corrections and clarifications that do not change any obligation take effect without notice, and the date of the current version is always shown in the footer of this page.
Version 3 and existing customers. The version 3 changes to sections 6, 7 and 10 apply from October 4, 2026 to anyone who subscribes from that date. For anyone who was already a customer before then, they change a right from version 2, and so they only apply 30 days after the email notice this section promises. Until then, the version 2 rule applies to those accounts: if a charge fails, we try again and notify you by email, and access is only suspended if non-payment persists, with a notice sent before the suspension.
14. Governing law and venue
This contract is governed by Brazilian law. The courts of the judicial district (comarca) of Cascavel, Paraná, are chosen to resolve anything that is not resolved between us, without prejudice to the consumer's right to file suit in the courts of their own domicile, guaranteed by the Brazilian Consumer Protection Code.
Before any dispute, try talking to Zera at [email protected]. Almost everything is resolved by email, and it costs less for both sides.
Version 3, of October 4, 2026: the access rule on cancellation and non-payment (sections 6, 7 and 10), the annual plan in instalments (sections 4, 7 and 8) and section 8, on the right of withdrawal, with its own title and address. On the same date, the wording of sections 6, 7, 8 and 10 was corrected to state what happens at the end of the paid period: the account on the platform is suspended, the login remains, nothing is deleted and the suspension does not cancel the subscription. For existing customers, the changes to sections 6, 7 and 10 follow the transition in section 13. On October 5, 2026, section 6 started stating that, after 30 days of suspension without payment, the subscription is cancelled automatically and the open invoices for the suspended period are cancelled. On the same date, section 5 was corrected to state that Meta charges per message, not per conversation; who pays and how did not change. Version 2 dates from September 6, 2026. Version 1, of July 28, 2026, was in effect until September 5, 2026. This document covers the contract of use. The processing of personal data is covered in the Privacy Policy.
